This role is an excellent opportunity for an individual who is passionate about corporate law, capital markets, and public company securities.
The successful candidate will be responsible for providing legal advice to our corporate team, ensuring that we operate in compliance with all applicable laws and regulations.
This is a contract position that offers a unique opportunity to work on complex, high-profile legal matters.
Responsibilities1.
Provide expert legal advice on corporate law matters, including mergers and acquisitions, corporate governance, and corporate finance.
2.
Draft and review a wide range of legal documents such as contracts, agreements, and corporate policies.
3.
Ensure compliance with all relevant laws, regulations, and internal policies.
4.
Advise on capital market transactions and public company securities, including IPOs, secondary offerings, and private placements.
5.
Assist in the preparation of materials for board and committee meetings.
6.
Manage relationships with external counsel, ensuring high-quality legal advice is obtained in a cost-effective manner.
7.
Stay up-to-date on changes to relevant laws and regulations, advising the business on any potential impact.
8.
Contribute to the development and implementation of best practices for the legal department.
Qualifications1.
Juris Doctor (JD) degree from an accredited law school.
2.
A minimum of 3 years of experience in corporate law, capital markets, and public company securities.
3.
Admission to the State Bar.
4.
Strong knowledge of corporate law and capital markets.
5.
Proven experience in managing complex legal projects.
6.
Excellent negotiation and communication skills.
7.
Ability to work independently and as part of a team.
8.
Strong analytical skills and attention to detail.
9.
High ethical standards and professionalism in dealing with confidential information.
10.
Pervious Large Firm Experience11.
Proficiency in legal research tools and Microsoft Office applications.
